1 About These Terms
These Terms of Service ("Terms") govern your use of The Stock Desk website at thestockdesk.com and the purchase of any services offered by The Stock Desk ("we", "us", "our"), a business trading as The Stock Desk, operated by Jay Preston Winter, United Kingdom. By using our website or purchasing any of our services you agree to these Terms in full. If you do not agree with any part of these Terms please do not use our website or purchase our services. These Terms indicate which legal jurisdiction's laws apply to our website and its users — all matters are governed by the laws of England and Wales.
2 Our Services
We offer the following consulting services to business clients:
2.1 The Stock Audit (£297 — one-off) A one-off stock health analysis delivered within 48 hours of receiving the required client data. The audit covers stock risk assessment, reorder point analysis, and cash-at-risk calculation based on data provided by the client.
2.2 Starter Stock System (£597/month — subscription) A monthly rolling subscription service including a weekly stock management report, monthly review call, and urgent stock alerts. The subscription renews automatically each month until cancelled.
2.3 Growth Stock Partner (£1,200/month — subscription) A monthly rolling subscription service including everything in the Starter Stock System plus demand forecasting, supplier order optimisation, direct WhatsApp access, two monthly review calls, and a quarterly review. The subscription renews automatically each month until cancelled.
2.4 Service Scope All services are delivered remotely. Services are based entirely on data provided by the client. The Stock Desk does not take responsibility for decisions made by the client based on our recommendations. Our role is advisory only.
3 Placing an Order
3.1 Our services are primarily intended for business clients. If you are purchasing as a consumer — that is, wholly or mainly outside your trade, business, or profession — additional statutory rights may apply as set out in Section 5.3 of these Terms.
3.2 A contract between you and The Stock Desk is formed when you complete a purchase on our website and receive an order confirmation email.
3.3 We reserve the right to decline any order at our discretion. If we decline your order after payment has been taken we will issue a full refund within 5 business days.
4 Pricing and Payment
4.1 All prices are displayed in pounds sterling (£) and are exclusive of VAT. The Stock Desk is not currently VAT registered. No VAT will be charged on any invoice or at checkout.
4.2 Payment is taken at the point of purchase for one-off services. For subscription services payment is taken on the date of purchase and on the same date each subsequent month.
4.3 In line with the Digital Markets, Competition and Consumers Act 2024 subscription auto-renewals will occur on the same date each month. You will receive an email reminder before each renewal. Renewal payments will be taken automatically from your payment method on file.
4.4 If a payment fails we will notify you by email. If payment remains outstanding after 7 days we reserve the right to suspend the service until payment is received.
4.5 We reserve the right to change our prices at any time. Existing subscribers will receive no less than 30 days written notice of any price change before it takes effect.
5 Cancellation and Refunds
5.1 One-off services (Stock Audit) Due to the nature of the service — which involves delivery of a bespoke analysis report — the Stock Audit is non-refundable once work has commenced. Work commences when we confirm receipt of your data. If you cancel before submitting your data you are entitled to a full refund.
5.2 Subscription services Either party may cancel a subscription service with 30 days written notice sent to hello@thestockdesk.com. You will continue to receive the service and be billed for the remainder of the 30-day notice period. No partial month refunds are issued.
5.3 Right to cancel under the Consumer Contracts Regulations If you are purchasing as a consumer rather than a business you have a statutory right to cancel within 14 days of purchase. However, by proceeding with a purchase and requesting that we begin work within this 14-day period, you acknowledge that your right to cancel may be lost once the service has been fully performed. If the service has not yet commenced you retain the right to a full refund within 14 days.
5.4 To request a cancellation or refund email hello@thestockdesk.com with your order details and reason for cancellation. We will respond within 2 business days.
6 Your Responsibilities
6.1 You agree to provide accurate, complete, and up-to-date data as requested. Our analysis and recommendations are based entirely on the data you supply. We cannot be held responsible for errors or omissions in our output that result from inaccurate data provided by you.
6.2 You are responsible for all decisions made based on our recommendations. Our services are advisory in nature. The final decision to act on any recommendation rests entirely with you. 6.3 You agree to provide data in a reasonable timeframe. For the Stock Audit the 48-hour turnaround begins from the point we confirm receipt of complete data. Delays in providing data may result in delays to delivery. 6.4 You agree not to share, resell, or redistribute any reports, analyses, or materials produced by The Stock Desk without our prior written consent.
7 Confidentiality
7.1 Both parties agree to keep confidential any information shared in the course of the engagement that is not publicly available.
7.2 The Stock Desk will not share your business data, sales figures, product information, or any other confidential information with any third party under any circumstances, except where required by law.
7.3 You agree not to disclose the specific methods, templates, or systems used by The Stock Desk to third parties without our prior written consent.
7.4 These confidentiality obligations survive termination of the agreement and remain in force indefinitely.
8 Data Protection
8.1 The Stock Desk processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Stock Desk is in the process of registering with the Information Commissioner's Office (ICO) and will update this section upon completion of registration.
8.2 Any personal data you provide — including your name, email address, and business information — will be used solely for the purpose of providing our services and communicating with you about those services.
8.3 We will never sell your personal data to third parties.

8.5 You have the right to request access to, correction of, or deletion of your personal data at any time by emailing hello@thestockdesk.com.
8.6 Client data will be retained for a period of 12 months following the end of the engagement, after which it will be securely deleted. You may request early deletion of your data at any time by emailing hello@thestockdesk.com .
9 Intellectual Property
9.1 All content on the thestockdesk.com website — including text, images, logos, and design — is the intellectual property of The Stock Desk and may not be reproduced without our written permission.
9.2 Reports, analyses, and materials produced by The Stock Desk and delivered to you are licensed for your own business use only. Ownership of the underlying methodology, templates, and systems remains with The Stock Desk at all times.
9.3 Any data you provide to us remains your property at all times.
10 Limitation of Liability
10.1 The Stock Desk's total liability to you in connection with any service shall not exceed the total fees paid by you for that service in the preceding month. This limitation reflects the advisory nature of our services, the fact that all decisions are made solely by the client, and the fees charged. The parties agree that this limitation is reasonable in all the circumstances. 10.2 We are not liable for any indirect, consequential, or special losses including but not limited to loss of profit, loss of revenue, loss of business, or loss of data arising from your use of our services or your reliance on our recommendations.
10.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
10.4 Our services are advisory in nature. We make no guarantee that following our recommendations will result in specific financial outcomes. Stock management involves variables outside our control including supplier delays, market fluctuations, and changes in consumer demand.
11 Website Use
11.1 You may use our website for lawful purposes only. You must not use our website in any way that causes damage to the website or impairs its availability to others.
11.2 We make no warranty that our website will be available at all times or that it will be free from errors or viruses. We reserve the right to withdraw or amend the website at any time without notice.
11.3 Our website may contain links to third party websites. We are not responsible for the content or availability of any third party websites linked from our site.
11.4 We reserve the right to update or change our website content at any time without notice.
11.5 The Stock Desk shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to illness, technology failure, internet outages, or other events outside its reasonable control. In such circumstances we will notify you as soon as reasonably practicable and resume the service as quickly as possible.
12 Changes to These Terms
12.1 We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised date. It is your responsibility to check these Terms periodically. Continued use of our services after any changes constitutes acceptance of the new Terms.
12.2 For significant changes to subscription terms we will notify existing subscribers by email with no less than 30 days notice.
13 Governing Law and Disputes
13.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13.2 In the event of a dispute we encourage you to contact us in the first instance at hello@thestockdesk.com so that we can attempt to resolve the matter informally before any formal proceedings are commenced.

15 Complaints
15.1 If you are unhappy with any aspect of our service please contact us in the first instance by emailing hello@thestockdesk.com with full details of your complaint.
15.2 We will acknowledge your complaint within 2 business days and provide a full response within 10 business days.
15.3 If we are unable to resolve your complaint to your satisfaction you may seek independent advice or refer the matter to the courts of England and Wales in accordance with Section 13 of these Terms.
